This Membership/Purchase Agreement ("Agreement") is entered into between Ohana's LLC ("Ohana's," "Ohana's Social Club," or the "Club") and the Applicant/Member ("Member").
By purchasing a membership, purchasing an event entry ticket, entering the Club premises, attending a Club-sponsored event, or participating in any Club activity, the Member acknowledges that they have read, understand, and agree to comply with all terms, conditions, rules, and policies contained in this Agreement.
Ohana's is a private members-only social club. Admission is limited to approved Members only.
Membership is a privilege and not a right. Ohana's reserves the right to approve, deny, suspend, restrict, or terminate membership at its discretion and at any time, to the fullest extent permitted by Ohio law.
Membership is limited to individuals who are at least twenty-one (21) years of age. Individuals under the age of twenty-one (21) are strictly prohibited from entering Ohana's premises or attending any Ohana's-sponsored event under any circumstances.
Members and guests must present valid government-issued photo identification upon entry for age and identity verification.
Any individual who presents false identification, misrepresents their identity, or provides fraudulent information may be denied entry, removed from the premises, reported to law enforcement when appropriate, and prohibited from returning.
As part of the membership application process, applicants are required to pass a background screening. Ohana's reserves the right to deny or revoke membership based on criminal history, including but not limited to violent offenses, domestic violence offenses, sexual offenses, fraud, harassment, or other conduct that, in the reasonable discretion of Club management, may present a safety, security, or privacy concern for the Club or its members.
Submission of a membership application does not guarantee acceptance.
The Member acknowledges that all Club activities and interactions are voluntary.
Ohana's provides a private social environment for consenting adults and does not require, arrange, guarantee, or supervise participation in any social, personal, or private interactions between Members.
Members are solely responsible for deciding whether, when, and with whom they choose to interact.
Ohana's maintains a zero-tolerance policy regarding violations of consent.
Members agree that:
Consent must be freely given, reversible informed, enthusiastic and specific. (F.R.I.E.S)
Consent may be withdrawn at any time and for any reason.
"No" means no and is a complete sentence. Silence, hesitation, intoxication, impairment, prior interactions, or previous consent do not constitute permission.
Any withdrawal or refusal of consent must be respected immediately and without argument, pressure, retaliation, or hostility.
Unwanted touching, harassment, coercion, intimidation, manipulation, or pressure to obtain consent is assault/battery and is strictly prohibited.
Any violation of this policy may result in immediate removal from the Club, termination of membership without refund, permanent prohibition from Club property and events, and reporting to law enforcement when appropriate.
Members agree to:
Treat all Members, guests, employees, volunteers, vendors, and representatives with courtesy and respect. Derogatory/hateful comments are not welcome here.
Maintain appropriate personal hygiene. There is a shower onsite.
Follow all Club rules, posted policies, and instructions from authorized Club personnel.
Communicate openly and respectfully regarding personal boundaries.
Conduct themselves in a manner that promotes a safe, welcoming, and respectful environment.
Privacy and discretion are fundamental expectations of Ohana's membership community.
Members agree to:
Not photograph, record, livestream, or otherwise capture images, video, or audio within Club property or at Club events unless expressly authorized by Club management and all identifiable individuals have provided consent.
Not use recording devices, hidden cameras, or technology intended to capture private interactions without consent.
Not use META smart glasses, smart glasses, or similar recording-capable wearable technology on Club property or at Club events.
Not disclose another Member's identity, attendance, participation, personal information, preferences, or activities without that person's express permission.
Respect the confidentiality of conversations and interactions occurring at the Club.
Membership is granted solely for the Member's personal enjoyment, recreation, and participation in Club activities.
Membership privileges may not be used for surveillance, monitoring, intelligence gathering, investigative activities, or any purpose intended to compromise the privacy, safety, or security of Members or the Club.
Members may not use Club access or membership privileges while acting on behalf of any government agency, law enforcement organization, private investigator, media organization, or other third party for investigative or information-gathering purposes without prior written disclosure and approval from Club management.
Any Member who misrepresents their identity, purpose, affiliation, or intentions in order to gain access to Ohana's or its Members may have their membership immediately terminated.
Violations of this section may result in immediate removal, termination of membership without refund, permanent prohibition from Club property and events, financial liability for damages caused, and any other remedies available to Ohana's under applicable law.
The Member understands and acknowledges that attendance at Ohana's and participation in Ohana's-sponsored events involve voluntary social interactions with other adults.
The Member voluntarily assumes responsibility for their own choices, decisions, actions, and interactions while participating in Club activities.
The Member acknowledges and agrees that Ohana's does not supervise, arrange, guarantee, or control private interactions between consenting adults and cannot guarantee the behavior of any Member or guest.
Members are solely responsible for:
Their own decisions and conduct.
Communicating and respecting personal boundaries.
Determining with whom they choose to interact.
Making informed decisions regarding safer-sex practices.
Protecting their personal property.
Making their own health-related decisions.
Disclosing or requesting information regarding sexually transmitted infections or other health considerations.
The Member agrees to exercise reasonable judgment and understands that all personal interactions occur voluntarily between consenting adults.
Ohana's is a private BYOB establishment and does not sell, distribute, or provide alcohol.
Members and guests are responsible for their own beverages and are expected to consume alcohol responsibly.
The Club reserves the right to deny entry, restrict participation, or remove any individual whose level of intoxication or impairment creates a safety concern, interferes with Club operations, or impacts another person's ability to participate safely.
Consent cannot be obtained from an individual who is incapacitated or unable to make informed decisions.
The possession, use, distribution, or sale of illegal drugs or controlled substances is strictly prohibited on Club property and at Club-sponsored events.
Any violation may result in immediate removal, termination of membership, and notification of law enforcement when appropriate.
Members and guests agree to comply with all applicable federal, state, and local laws while on Ohana's property and during Ohana's-sponsored events.
Ohana's is a private social organization and is not a marketplace for commercial sexual activity.
Members and guests may not:
Offer, request, negotiate, or exchange money, goods, services, gifts, compensation, or anything of value in connection with sexual activity.
Solicit other Members or guests for commercial purposes.
Engage in prostitution, trafficking, exploitation, or any unlawful activity.
Use Club membership or access for illegal purposes.
Any violation of this section may result in immediate removal from the Club, termination of membership without refund, permanent prohibition from Club property and events, and notification of law enforcement when appropriate.
Club management and authorized staff are responsible for maintaining a safe, respectful, and secure environment.
Members and guests agree to follow all reasonable instructions provided by Club management or authorized staff.
The Club reserves the right to remove any person whose conduct violates this Agreement, Club rules, or threatens the safety, privacy, security, or enjoyment of Members, guests, staff, or Club operations.
Except in circumstances involving serious misconduct, Club management may provide an opportunity for the individual to correct the behavior. However, the Club is not required to provide a warning before removal when immediate action is necessary.
Serious misconduct includes, but is not limited to:
Consent violations.
Harassment or unwanted contact.
Threats or acts of violence.
Intimidation or stalking.
Illegal activity.
Recording or privacy violations.
Property damage.
Refusal to follow staff instructions.
Once an individual has been instructed to leave Club property or an event, they must immediately comply.
A person who refuses to leave after being directed to do so may be considered an unauthorized occupant. The Club reserves the right to contact law enforcement and request assistance, including enforcement of applicable trespass laws.
Members acknowledge that Club safety may require contacting law enforcement, emergency services, security personnel, or other authorities due to a Member's or guest's conduct.
If a Member's actions, misconduct, refusal to comply with Club rules, unlawful behavior, or disruptive conduct reasonably requires the Club to contact law enforcement, emergency services, or security personnel, the Member agrees to reimburse Ohana's for a $500 administrative response fee.
This fee is intended to compensate the Club for reasonable costs associated with emergency response, staff time, documentation, disruption of operations, and administrative expenses.
The fee may apply in circumstances including, but not limited to:
Refusing to leave after being directed to do so.
Threats, violence, or aggressive behavior.
Harassment or consent violations.
Privacy or recording violations.
Property damage.
Any conduct requiring emergency assistance.
Payment of this fee does not limit Ohana's ability to pursue additional damages, costs, attorneys' fees, membership termination, or any other remedies available under applicable law.
Ohana's reserves the right to suspend, restrict, or terminate membership, deny admission, remove any individual, or prohibit future access when a Member's conduct violates this Agreement, Club rules, or compromises the safety, privacy, security, or enjoyment of others.
Membership decisions are made by Club management in its discretion and are intended to protect the Club community.
Termination or suspension does not entitle the Member to a refund of membership or event fees paid.
Upon termination, all membership privileges immediately end, including access to Club property, events, communications, and Member-only activities.
A former Member may not return to Club property or attend Club events unless expressly invited or approved in writing by Club management. Violation of this policy may result in law enforcement being contacted.
The Member acknowledges that through membership in Ohana's, attendance at Club events, and participation in Club activities, they may obtain access to private, confidential, and personal information regarding the Club, its operations, owners, management, employees, volunteers, Members, guests, and events.
The obligations contained in this section survive termination, expiration, suspension, or cancellation of membership.
During and after membership, the Member agrees not to:
Disclose, publish, share, distribute, or otherwise reveal the identity, attendance, participation, personal information, preferences, or activities of any Member, guest, employee, volunteer, owner, manager, or representative without that person's express consent.
Share private Club communications, photographs, videos, recordings, documents, policies, or internal information obtained through membership or attendance at Club events.
Use information obtained through Club membership for retaliation, harassment, intimidation, embarrassment, financial gain, or any improper purpose.
The Member acknowledges that privacy and discretion are essential conditions of membership.
After termination of membership, a former Member agrees not to engage in conduct intended to harass, threaten, intimidate, retaliate against, or interfere with Ohana's, its owners, employees, representatives, Members, or guests.
Prohibited conduct includes:
Repeated unwanted contact with Members, Volunteers, owners, or management.
Threats, intimidation, stalking, or attempts to pressure or influence Members or staff.
Attempts to disrupt Club operations, events, relationships, or business activities.
Encouraging others to harass, threaten, or interfere with the Club or its Members.
Knowingly spreading false information with the intent to cause harm to the Club or its Members.
The Member acknowledges that these obligations exist to protect the safety, privacy, and enjoyment of the Ohana's community.
A violation of this section may result in Ohana's pursuing available remedies, including injunctive relief, damages, attorneys' fees where permitted by law, and any other remedies available under applicable law.
To the fullest extent permitted by applicable law, the Member agrees to indemnify, defend, and hold harmless Ohana's LLC, Ohana's Social Club, its owners, managers, employees, volunteers, agents, representatives, and affiliates (collectively, the "Club Parties") from and against any claims, demands, actions, damages, losses, liabilities, expenses, costs, and reasonable attorneys' fees arising out of or related to:
The Member's conduct or actions while on Club property or attending Club events.
The Member's violation of this Agreement, Club rules, or applicable laws.
The Member's violation of another person's rights, privacy, or boundaries.
Claims arising from the Member's interactions with other Members, guests, or individuals associated with the Club.
The conduct of any guest brought to the Club by the Member.
This indemnification obligation does not apply to the extent caused by the gross negligence, reckless conduct, or intentional misconduct of the Club Parties where such liability cannot legally be waived under applicable law.
If Ohana's substantially prevails in any legal action, arbitration, administrative proceeding, or other dispute arising out of or relating to:
A Member's breach of this Agreement.
A violation of Club rules or policies.
A Member's conduct while participating in Club activities.
A claim brought by a Member against Ohana's relating to membership, access, or participation.
The Member agrees to reimburse Ohana's for reasonable attorneys' fees, court costs, arbitration costs, and other reasonable expenses incurred in connection with the matter, to the fullest extent permitted by Ohio law.
Nothing in this section limits any other rights or remedies available to Ohana's under applicable law.
Ohana's reserves the right to modify, update, amend, or replace this Agreement, Club rules, policies, procedures, or membership requirements from time to time.
Updated versions may become effective upon publication, electronic notification, posting at the Club, or other reasonable notice provided to Members.
Continued membership, attendance, or participation in Club activities after notice of updated terms constitutes acceptance of the revised Agreement and policies.
This Agreement shall be governed by and interpreted in accordance with the laws of the State of Ohio, without regard to conflict-of-law principles.
Any legal action, claim, or proceeding arising out of or relating to this Agreement, membership, Club activities, or the relationship between the Member and Ohana's shall be brought in the state or federal courts located in the county where Ohana's principal place of business is located, unless otherwise required by applicable law.
The Member consents to personal jurisdiction and venue in those courts.
If any provision of this Agreement is determined to be invalid, unlawful, or unenforceable, the remaining provisions shall continue in full force and effect.
The parties intend that any invalid or unenforceable provision be modified only to the minimum extent necessary to make it enforceable while preserving the original intent of the provision to the greatest extent permitted by law.
This Agreement, together with the Club Rules, Code of Conduct, privacy policies, and any additional written policies adopted by Ohana's, constitutes the complete and entire agreement between the Member and Ohana's regarding membership and participation.
This Agreement supersedes all prior discussions, representations, understandings, or agreements, whether oral or written, relating to the subject matter of membership.
The failure of Ohana's to enforce any provision of this Agreement or Club policy shall not be considered a waiver of the Club's right to enforce that provision or any other provision in the future.
Any waiver must be provided in writing by authorized Club management.
By purchasing a membership, purchasing an event ticket, entering Club premises, attending a Club event, or participating in any Ohana's activity, the Member acknowledges and agrees that:
They are at least twenty-one (21) years of age.
They have read, understand, and voluntarily agree to this Membership/Purchase Agreement.
They understand that membership is a privilege and not a right.
They agree to comply with all Club rules, policies, and instructions from authorized Club personnel.
They understand that consent, privacy, and respectful conduct are fundamental requirements of membership.
They understand that violations of this Agreement may result in removal, termination of membership, financial responsibility, legal action, and prohibition from future Club access.
They voluntarily choose to participate in Club activities and accept responsibility for their own decisions, conduct, and interactions.
By completing membership or ticket purchase or entering Ohana's premises, the Member confirms acceptance of this Agreement.
